These Terms of Service (“Terms”) govern your use of nbsincorp.com and any services provided by Nexgen Business Solutions, Inc. (“Nexgen,” “we,” “our,” or “us”). By using our website or engaging our services, you agree to these Terms.
Use of the Site
You may use nbsincorp.com for lawful purposes. You may not use the site to attempt unauthorized access, interfere with operation, transmit malware or harmful code, scrape content for commercial republication without consent, or impersonate any person or entity.
Content on the site, including text, graphics, logos, images, and software, is owned by Nexgen or used under license. You may view and download content for personal, non-commercial reference. All other use requires our prior written consent.
Engaging Our Services
Specific services are governed by separate written agreements (proposals, statements of work, or master service agreements) signed between Nexgen and the client. Those agreements control the scope, fees, deliverables, timelines, and obligations of each engagement. Nothing on this website constitutes an offer or a binding contract until both parties have signed a written agreement.
Assessments and Strategy Sessions
Nexgen offers paid assessment services (AI Strategy Session, IT Systems Audit, Smart Site Audit, Business Systems Assessment, and others). The terms of each assessment, including scope, deliverable, timeline, and fee, are described on the corresponding service page and confirmed at the time of booking. Assessment fees are credited toward subsequent deployment engagements when you proceed within 90 days, subject to the terms of the deployment agreement.
Payments
Fees for services are due according to the terms of the applicable agreement. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs. Recurring service fees, for example managed IT, hosting, and marketing retainers, renew automatically unless terminated in writing in accordance with the applicable agreement.
Disclaimers
The website and any content provided are made available on an “as is” and “as available” basis. To the maximum extent permitted by law, Nexgen disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of viruses or other harmful components.
Recommendations, projections, and case-study results presented on this site reflect specific past engagements and are not a guarantee of similar results for any other client.
Limitation of Liability
To the maximum extent permitted by law, Nexgen and its officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages. This limit also applies to any loss of profits, revenue, data, or business opportunity arising out of or related to your use of the website or our services. Our aggregate liability for any claim relating to the website or our services will not exceed the fees paid by you to Nexgen in the 12 months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold Nexgen harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the website, or your violation of applicable law or third-party rights.
Third-Party Services
The website may link to or integrate with third-party services, for example payment processors, analytics, chat providers, and scheduling. We are not responsible for the content, terms, or privacy practices of those third parties. Your use of any third-party service is governed by that party’s own terms.
Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the website will be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time. The most current version will always be posted at nbsincorp.com/terms-of-service/, with the effective date at the top. Continued use of the site after changes are posted constitutes acceptance of the revised Terms.
